Integrum Asset Management IPAS (hereinafter – Management Company) informs that with the aim of providing wider investment opportunities for the investors and optimizing the administration process it has decided to add the mutual fund ABLV European Corporate EUR Bond Fund (hereinafter – Merging fund) to the mutual fund’s Integrum Global Bond Fund (previous name – ABLV Emerging Markets Bond Fund) subfund Integrum Global EUR Bond Fund (hereinafter – Receiving fund).
Merger will become effective on 03.01.2023. (Day of merger).
As a result of the merger of the above mentioned mutual funds:
The Management Company proposes merger of the mutual funds with the aim of providing wider investment opportunities for the investors and optimizing the administration process. As a result of the merger the investors will be able to benefit from more efficient management, better diversification and wider investment opportunities which is inherent for the mutual fund with a large amount of assets.
After the merger, the investors of the Receiving fund will own the same investment certificates that they owned before, in the same quantity. At the same time, the existing investment certificates of the Merging fund will be deleted and instead of those the investors of the Merging fund will receive on their accounts newly issued investment certificates of the Receiving fund. The quantity of newly issued investment certificates of the Receiving fund received by the investor of the Merging fund may differ from the quantity of the investment certificates that the investor owned in the Merging fund, however, the total investment value will not change as a result of the merger. No fee will be charged for the new issuance of the Receiving fund’s investment certificates, and for the exchange of the Merging fund’s investment certificates for newly issued Receiving fund’s investment certificates. In the process of the merger, the investors of the mutual funds to be merged are not entitled to a cash payment.
Both merging mutual funds have the same procedure for determining the fund value, same procedure for selling and redeeming investment certificates, same procedure for calculating and paying remuneration as well as the same reporting periodicity. Both merging mutual funds have similar investment policy and strategy, similar risk profile of investment objects and investment portfolio, similar investment restrictions and similar expected performance. Both merging mutual funds invest in debt securities issued in fund’s base currency (EUR) and their investment portfolios are diversified between many issuers in different countries, but there are differences in investment regions and types of issuers:
The synthetic indicator of the Merging fund is 4, which is determined by the annual volatility of the fund’s yield in the range of 5-10% over the last 5 years, while the synthetic indicator of the Receiving fund is 3, which is determined by the annual volatility of the fund’s yield in the range of 2-5% over the last 5 years. The Receiving fund has lower maximum rate of the fee to the Management Company for the management of the fund. At the same time, the fees to the custodian bank and to the auditor, the commissions for emission of investment certificates as well as the payments that are paid from the fund assets, are similar for both merging funds. The commissions for the redemption of investment certificates are not applied in both merging mutual funds.
Funds to be merged operate pursuant to legal acts of the Republic of Latvia, therefore, because of the merger, the taxes and duties applicable to investors do not change.
Prior to the proposed merger, amendments were made to the documents of the Receiving fund’s prospectus, regulations, and basic information for investors (registered with the Financial and Capital Market Commission on 03.10.2022) that ensure wider investment opportunities – from now on, the fund will invest in debt securities issued or guaranteed by central banks, governments, municipalities, commercial companies and credit institutions around the world. As a result of the amendments made to the documents, the name of the Receiving fund was changed from ABLV Emerging Markets EUR Bond Fund to Integrum Global EUR Bond Fund.
Upon transferring the assets of the Merging fund within the process of the merger, holdings and money of the Merging fund will be transferred to the Receiving fund – rebalancing of the portfolios of merging funds will not be performed, as the investments of the Merging fund comply with the investment policy of the Receiving fund. Consequently, it is intended that there is no risk of impairment of the Receiving fund’s investment portfolio value because of the merger.
In respect of the proposed merger of mutual funds, investors of the Merging fund and of the Receiving fund will be entitled:
Accrued income of the Merging fund will be added to the accrued income of the Receiving fund as well as will be considered in determining the Exchange ratio of the investment certificates, as a result of the merger.
The merger of the Merging fund and the Receiving fund shall become effective on the 40th calendar day from the date of notification of the decision of the Finance and Capital Market Commission to the Management Company to authorize the merger of the mutual funds, respectively, the Day of merger will be 03.01.2023.
To ensure the merger of the mutual funds the Management Company will perform the following activities on the Day of merger:
To ensure the merger of mutual funds investors will not be able to submit applications for the purchase, return and redemption of investment certificates of the Receiving fund and of the Merging fund from 27.12.2022 till 03.01.2023, i.e., transactions with investment certificates of the merging funds will be suspended during the specified period of time.
Prior the merger, investors will be able to purchase, sell and request to return the investment certificates of the Merging fund and of the Receiving fund until 24.12.2022 at 17:00.
Investors will be able to make transactions with their investment certificates of the Receiving fund starting from the next business day after the Day of merger.

In case there is any conflict between versions of this information written in different languages, the Latvian version shall prevail.
